3D Model License Agreement

GLOBAL MAJIC SOFTWARE 3D MODEL PRODUCTS

Thank you for purchasing this Global Majic Software, Inc. 3D model product. It is important that you carefully read the following agreement prior to using the product (hereinafter "the model" or "content"). By extracting the content from the delivered zip file, you are accepting the following License Agreement.

LICENSE AGREEMENT

This is a legal agreement between you (individual or entity or hereinafter the Buyer) and Global Majic Software, Inc. By extracting the content, you are agreeing to be bound by the terms of this agreement. You may terminate this license at any time by destroying all copies of the content or by returning the content to Global Majic Software, but this does not entitle you to a refund. Global Majic Software may terminate this license if you fail to comply with the terms and conditions of this Agreement. Upon such termination, you agree to destroy and/or return all your copies of the content. You agree to be responsible for the payment of any taxes resulting from this Agreement. Any unauthorized rental, lease, assignment or transfer of any copy of the content shall be void. If any provisions of this Agreement are held invalid, the remainder shall continue in full force and effect. The laws of the State of Alabama shall govern this License Agreement.

COPYRIGHT and DISTRIBUTION

Global Majic Software retains all copyrights to the enclosed content and imagery. The Buyer is not purchasing the contents, only the right to use the contents. The Buyer may not redistribute the content, in whole or in part without prior written permission from Global Majic Software. The Buyer may not store it any place on a network or on the Internet where it may be referenced by a third party. Buyer acquires the copyright to any derivative works created using this work, provided none of the original materials can be extracted from the Buyers derivative work by any means. If Global Majic Software can show that any of the original material can be extracted from Buyer's derivative work, Global Majic Software can demand both the original and derivative work, and all copies thereof be destroyed. This license is designed to protect Global Majic Software from Buyers releasing work which will allow persons other than the Buyer to obtain the copyrighted content. This license is not meant to infringe upon the technical or artistic endeavors of the Buyer. Buyer may not make any use of the enclosed materials until the delivered format can protect the original materials from being extracted or otherwise distributed for any purpose or use.

BUYER GRANT and PROTECTION

In order to protect the Buyer, the Buyer is hereby granted a non-exclusive, non-transferable license to use all of the contents purchased. Global Majic Software maintains that all items sold are original work, or are derivative works from materials created, otherwise purchased or found and recognized as public domain. Global Majic Software maintains the legal power to grant the Buyer this license for all purchased materials. Buyer may use the materials in any personal projects or commercial projects as long as the original content is protected from extraction and none of the items above have been violated. Buyer may make a single backup copy of this content for archival purposes only. Buyer retains this license, even if Global Majic Software stops selling these materials at a later date, or decides to charge a different price. Global Majic Software may only revoke this license, if it is shown that a Buyer has previously violated the terms and conditions above.

REFUND POLICY

In the event a Buyer is not satisfied with a 3D Model product within 30 days of purchase, a refund may be issued. Issuing a refund is at the sole discretion of Global Majic Software. Refunds will be issued only after the Buyer has communicated in writing with Global Majic Software to resolve issues or problems related to the original content purchased. If a refund is issued, the Buyer is responsible for deleting all files using the content and may not continue distribution of products containing the content or any part of the purchased content.

LIMITATIONS

Your only form of compensation under this License Agreement shall be repair or replacement as provided in the warranty. Global Majic Software's maximum liability for any claim by you or anyone claiming through or on behalf of you arising out of your this purchase shall never exceed the actual amount received from you by Global Majic Software for the product. Global Majic Software is not liable for any direct, incidental, collateral, exemplary, consequential or special damages or losses that may result from the use or installation of Global Majic Software products.

WARRANTY

THE CONTENT AND/OR DOCUMENTATION IS PROVIDED "AS IS" WITHOUT WARRANT OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE CONTENT IS WITH YOU, AND YOU ASSUME THE ENTIRE COST OF ALL NECESSARY CORRECTIONS.

Global Majic Software does NOT warrant that the content will meet your requirements or that any of the materials contained within the content is error free.

GENERAL

This Agreement is the entire Agreement between us and supersedes any other communications, advertisements, or understandings with respect to the Software and documentation. You may not use the Global Majic Software name or any of its intellectual property (graphics, logos, trademarks, etc.) in any marketing activity unless given prior WRITTEN permission from Global Majic Software. You agree to indemnify, hold harmless, and defend Global Majic Software and its suppliers from and against any and all claims or lawsuits including attorney's fees that arise or result from the use or distribution of the purchased content. If any of these conditions are breached, such breach shall constitute an unlawful use of the Software, and you shall be prosecuted to the full extent of the law. Furthermore, you shall be liable to Global Majic Software for all damages caused by such breach and unlawful use of the Software, including attorney's fees and costs incurred in any action, lawsuit or claim brought or filed to redress the breach of this agreement. In no event shall Global Majic Software be liable for any incidental, or consequential damages, including, without limitation, damages for loss of sales, loss of profits, business interruption, loss of data, or third party claims arising out of this license agreement or the use or inability to use the content for any other reason, even if the Buyer has been advised of the possibility of such damages. Items sold by Global Majic Software may not be used for illegal purposes.
